Terms and Conditions for Legal Consultancy Services

  1. Introduction

These Terms and Conditions (“Terms”) govern the provision of legal consultancy and contract‑related services (“Services”) by EXW Consultancy Ltd (“the Consultancy”, “we”, “us”, “our”) to the client (“the Client”, “you”, “your”). By engaging our Services, you agree to be bound by these Terms.

  1. Scope of Services
  • We provide legal consultancy, including contract drafting, review, negotiation support, and general advisory services.
  • We do not provide litigation services, representation in court, or any regulated activities requiring authorisation unless explicitly stated and legally permitted.
  • The exact scope of work will be defined in a written Service Agreement, Proposal, or Engagement Letter.
  1. No Legal Representation
  • Our consultancy services are advisory in nature and do not create a solicitor‑client relationship.
  • We do not act as your legal representatives unless expressly agreed in writing.
  • You remain responsible for all decisions made based on our advice.
  1. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information necessary for us to perform the Services.
  • Review all documents and advice provided and raise any concerns promptly.
  • Ensure that any decisions or actions taken based on our advice comply with applicable laws.
  1. Fees and Payment
  • Fees may be charged at a fixed‑fee as outlined in the Engagement Letter.
  • Work will not commence until payment has been made on account.
  • Additional expenses (e.g., travel, third‑party fees, specialist counsel) will be charged separately with prior notice.
  1. Confidentiality
  • We will treat all information you provide as confidential and will not disclose it to third parties except:
    • where required by law,
    • where necessary to perform the Services,
    • or with your explicit consent.
  • You agree to maintain confidentiality regarding any proprietary methods, templates, or materials we provide.
  1. Intellectual Property
  • All documents, templates, and materials created by us remain our intellectual property unless otherwise agreed.
  • You are granted a non‑exclusive licence to use deliverables solely for your internal business purposes.
  1. Limitation of Liability
  • Our liability for any claim arising from the Services is limited to the total fees paid by you for the specific work giving rise to the claim.
  • We are not liable for:
    • indirect or consequential losses,
    • business interruption,
    • loss of profits,
    • decisions made by you based on our advice.
  • Nothing in these Terms limits liability for fraud or any liability that cannot be excluded by law.
  1. Third‑Party Services
  • If we recommend or engage third‑party professionals (e.g., specialist lawyers, consultants), we do so in good faith but are not responsible for their performance or advice.
  1. Termination

Either party may terminate the engagement:

  • With 7 days’ written notice, or
  • immediately if the other party breaches these Terms. Upon termination:
  • all outstanding fees become immediately due,
  • we may retain work product until payment is received.
  1. Data Protection
  • We will process personal data in accordance with applicable data protection laws, including the UK GDPR where relevant.

  1. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
